This End-User License Agreement ("EULA") is a legal agreement between you and TEMERON DWC-LLC ("TEMERON," "we," or "our") for the use of the "Email Check Today" browser extension ("Extension"). By installing, downloading, or using the Extension, you agree to be bound by the terms and conditions of this EULA. If you do not agree to these terms, you should not use the Extension.
a. Subject to your compliance with the terms and conditions of this EULA, TEMERON grants you a personal, non-exclusive, non-transferable, and limited license to download, install, and use the "Email Check Today" Extension on your compatible devices for your personal, non-commercial use.
b. The license granted under this section is solely for your use and does not grant you any right to sublicense, distribute, rent, lease, sell, modify, or create derivative works based on the Extension. c. You may use the Extension on multiple devices that you own or control, provided that you are the sole user of those devices and comply with this EULA.
a. All rights, title, and interest in and to the "Email Check Today" Extension, including all associated intellectual property rights, are and shall remain the exclusive property of TEMERON and its licensors.
b. You acknowledge and agree that the Extension is protected by copyright, trademark, and other laws of the United Arab Emirates and other countries.
c. Except for the limited license granted to you under Section 1 of this EULA, nothing in this EULA grants you any right, title, or interest in the Extension or its associated intellectual property.
a. By using the "Email Check Today" Extension, you consent to TEMERON's collection, processing, and use of your data, including but not limited to browsing information, email addresses, and usage data, as described in TEMERON's Privacy Policy.
b. The data collected may be used to provide the functionality of the Extension, improve user experience, and comply with legal obligations. c. TEMERON will take appropriate measures to safeguard your data and protect your privacy in accordance with applicable data protection laws.
a. The "Email Check Today" Extension is designed to assist you in verifying the existence and validity of email addresses entered into web forms or text fields on websites you visit.
b. The Extension performs email address validation by querying external databases and third-party services. However, TEMERON does not guarantee the accuracy or completeness of the information provided by these external sources.
c. While the Extension aims to improve the accuracy of data entry and reduce potential errors in email addresses, it is essential to verify and validate critical information independently.
d. You acknowledge and agree that the Extension's functionality may be subject to limitations, interruptions, or errors beyond TEMERON's control, and TEMERON shall not be liable for any damages or losses resulting from the use or reliance on the Extension's features.
a. You agree not to use the Extension in any way that violates applicable laws or regulations or infringes upon the rights of others.
b. You shall not use the Extension to distribute spam, malware, or any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
c. You shall not interfere with or disrupt the functionality or security of the Extension, including but not limited to attempting to gain unauthorized access to any system or network.
a. The "Email Check Today" Extension is provided on an "as is" and "as available" basis. TEMERON makes no warranties or representations regarding the Extension, whether express, implied, or statutory. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of information.
b. TEMERON shall not be liable for any indirect, consequential, special, incidental, or punitive damages arising out of or relating to the use or inability to use the Extension, even if we have been advised of the possibility of such damages.
c. In no event shall TEMERON's total liability to you for all damages, losses, and causes of action exceed the amount you have paid, if any, for the Extension.
a. You may terminate this EULA at any time by uninstalling the "Email Check Today" Extension from your device and ceasing all use of the Extension.
b. TEMERON may, at its sole discretion, terminate this EULA and your access to the Extension at any time without notice for any reason, including but not limited to your breach of this EULA or misuse of the Extension.
c. Upon termination of this EULA, for any reason, the licenses granted to you under this EULA shall immediately terminate, and you must promptly uninstall the Extension from all devices in your possession or control and cease all use of the Extension.
a. This EULA shall be governed by and construed in accordance with the laws of Dubai, United Arab Emirates, without regard to its conflict of laws principles.
b. Any dispute, controversy, or claim arising out of or relating to this EULA, its breach, termination, or validity, including any disputes relating to non-contractual obligations, shall be referred to and finally resolved by arbitration under the rules of the Dubai International Arbitration Centre (DIAC). The arbitration shall be conducted in Dubai, United Arab Emirates, and the language of the arbitration shall be English.
c. Notwithstanding the above, TEMERON may seek injunctive relief or any other equitable remedy from any court of competent jurisdiction to enforce the provisions of this EULA or to protect its rights and interests.
If any provision of this EULA is found to be unenforceable or invalid under applicable law, such provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of this EULA shall remain in full force and effect. In such a case, the unenforceable or invalid provision shall be replaced by a valid and enforceable provision that achieves the original intent of the parties to the extent possible. The other provisions of this EULA shall continue to be valid and enforceable.
a. You agree to indemnify, defend, and hold TEMERON and its affiliates, officers, directors, employees, agents, and licensors harmless from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
i. Your use of the "Email Check Today" Extension;
ii. Your violation of this EULA or any applicable laws or regulations;
iii. Any content you submit, post, transmit, or otherwise make available through the Extension;
iv. Any unauthorized access to or use of the Extension;
v. Your interaction with any third-party services or content through the Extension;
vi. Any breach of security resulting from your failure to maintain the confidentiality of your account credentials;
vii. Your willful misconduct or negligent acts or omissions; or
viii. Any claim that your use of the Extension caused damage to a third party.
b. TEMERON reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such a case, you agree to cooperate with TEMERON's defense of such claims.
c. You shall not settle any claim that results in liability or imposes any obligation on TEMERON without TEMERON's prior written consent.
d. This indemnification obligation shall survive the termination or expiration of this EULA for any reason.
a. This EULA constitutes the entire agreement between you and TEMERON regarding the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, whether oral or written, between you and TEMERON.
b. Any statements, promises, or representations made by TEMERON's representatives or employees that are not expressly stated in this EULA shall not be binding.
c. This EULA may not be modified or amended except in writing and signed by both parties.
d. In the event of any conflict between this EULA and any other agreements or terms associated with the "Email Check Today" Extension, this EULA shall prevail.
e. This EULA is intended to govern your use of the Extension and any updates or upgrades that may be provided by TEMERON. If additional terms or conditions accompany such updates or upgrades, they will be considered part of this EULA.
f. You acknowledge and agree that this EULA sets forth the entire understanding and agreement between you and TEMERON concerning the use of the Extension, and it supersedes any prior or contemporaneous agreements, communications, or representations regarding the same.
g. No failure or delay by TEMERON in exercising any right, power, or privilege under this EULA shall operate as a waiver of such right, power, or privilege. The rights and remedies provided in this EULA are cumulative and not exclusive of any rights or remedies provided by law.
h. If any provision of this EULA is determined to be invalid, illegal, or unenforceable, the remaining provisions of this EULA shall remain in full force and effect.
i. This EULA shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns.
j. This EULA is not intended to confer any rights or remedies upon any person other than the parties to this EULA and their respective successors and permitted assigns.
k. You may not assign, transfer, or sublicense any of your rights or obligations under this EULA without TEMERON's prior written consent.
l. Any headings or section titles in this EULA are for convenience only and do not define, limit, or describe the scope or intent of any provisions.
m. Nothing in this EULA shall be construed as creating a joint venture, partnership, employment, or agency relationship between you and TEMERON.
n. This EULA shall be interpreted and construed in accordance with the laws of Dubai, United Arab Emirates, without regard to its conflict of laws principles.
TEMERON reserves the right to update or modify this EULA at any time without prior notice. Any changes to the terms will be effective immediately upon posting the revised EULA on the TEMERON website or through the Extension. It is your responsibility to review the EULA periodically to stay informed of any updates. By continuing to use the Extension after any modifications to the EULA, you acknowledge and agree to be bound by the revised terms. If you do not agree with the updated terms, you must immediately stop using the Extension and uninstall it from your device. TEMERON may also, in its sole discretion, introduce new features or functionality to the Extension or discontinue existing features. We are under no obligation to provide support, maintenance, updates, or enhancements for the Extension, but we may do so at our discretion.
a. The "Email Check Today" Extension may include links or integration to third-party websites, services, or content that are not owned or controlled by TEMERON. Such third-party services may have their own terms of service and privacy policies, which will govern your use of those services. We encourage you to review the terms and privacy policies of any third-party services before using them.
b. TEMERON does not endorse, guarantee, or assume responsibility for the content, availability, accuracy, legality, or practices of any third-party websites or services. You acknowledge and agree that TEMERON shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such third-party content, goods, or services available through the Extension.
c. Any interactions you have with third-party services through the Extension, including the delivery of goods and services and any terms, conditions, warranties, or representations associated with such interactions, are solely between you and the relevant third-party. TEMERON shall not be responsible for any disputes or claims arising from or related to such interactions.
a. TEMERON shall not be liable for any failure or delay in performance of its obligations under this EULA caused by circumstances beyond its reasonable control. Such circumstances may include but are not limited to acts of God, war, terrorism, civil unrest, strikes, labor disputes, natural disasters, pandemics, governmental restrictions, or power failures.
b. In the event of a force majeure event, TEMERON will make reasonable efforts to mitigate the impact on the provision of the Extension, but we shall have no liability for any failure or delay resulting from such events.
The failure of TEMERON to enforce any right or provision of this EULA shall not be deemed a waiver of such right or provision. Any waiver of any provision of this EULA will be effective only if it is in writing and signed by TEMERON.
The following sections shall survive the termination or expiration of this EULA for any reason: Section 3 (Privacy and Data Collection), Section 5 (Disclaimers and Limitation of Liability), Section 6 (Indemnification), Section 8 (Termination), Section 9 (Governing Law and Dispute Resolution), Section 10 (Severability), Section 11 (Entire Agreement), and Section 16 (Survival).
